1. Agreement to Terms

By accessing or using the RailSlot platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

2. Description of Service

RailSlot provides a Software-as-a-Service (SaaS) platform for railway capacity optimization, including:

  • Real-time monitoring of railway capacity on RNE (RailNetEurope) networks
  • Automated alerts for capacity availability
  • Price prediction and optimization recommendations
  • API access for capacity booking workflow automation
  • Analytics and reporting dashboards

The Service integrates with third-party data sources (RNE CIP, infrastructure manager APIs) but does not guarantee their availability or accuracy.


3. User Accounts & Registration

3.1 Account Creation

To use the Service, you must:

  • Provide accurate, complete registration information
  • Be a legally registered business entity (B2B only - no individual consumers)
  • Have authority to bind your organization to these Terms
  • Maintain the security of your account credentials

3.2 Account Types

3.3 Account Security

You are responsible for:

  • Keeping your API keys confidential
  • All activity under your account
  • Notifying us immediately of unauthorized access

We reserve the right to suspend accounts with suspicious activity.


4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service to:

  • ✅ Monitor railway capacity for your organization's operations
  • ✅ Automate capacity booking workflows
  • ✅ Analyze pricing trends and optimize costs
  • ✅ Integrate with your internal systems via API

4.2 Prohibited Use

You may NOT:

  • ❌ Resell or sublicense the Service without written consent
  • ❌ Scrape, spider, or harvest data beyond your subscription limits
  • ❌ Reverse engineer, decompile, or attempt to extract source code
  • ❌ Use the Service to transmit malware, spam, or illegal content
  • ❌ Interfere with the Service's operation or other users' access
  • ❌ Impersonate RailSlot or misrepresent affiliation
  • ❌ Use the Service for benchmarking competing products

Violation consequences: Account suspension or termination without refund.


5. Subscription & Payment

5.1 Pricing

Current pricing (subject to change with 30 days' notice):

All prices are in EUR (€), exclusive of VAT.

5.2 Billing

  • Annual plans: Paid upfront, non-refundable (except as required by law)
  • Monthly plans: Charged on first day of billing cycle
  • Invoicing: Sent via email within 3 business days
  • Payment methods: Credit card, bank transfer (Enterprise only)
  • Auto-renewal: Subscriptions renew automatically unless canceled

5.3 Taxes

You are responsible for all applicable taxes (VAT, GST, sales tax). If we are required to collect taxes, they will be added to your invoice.

5.4 Late Payment

  • Grace period: 7 days after due date
  • Suspension: Access suspended after 7 days
  • Termination: Account terminated after 30 days
  • Late fees: 1.5% per month on overdue balance

5.5 Refund Policy

  • Free tier: N/A
  • Paid tiers: No refunds except:
    • Service unavailable >48 consecutive hours (prorated credit)
    • Billing error (corrected within 30 days)
    • Required by consumer protection law (EU residents)

6. API Usage & Rate Limits

6.1 Rate Limits (Per Tier)

Exceeding limits: HTTP 429 response, temporary throttling (no account suspension unless abusive).

6.2 API Keys

  • Keep API keys confidential (treat like passwords)
  • Rotate keys if compromised (self-service in dashboard)
  • Do NOT embed keys in client-side code (use backend proxy)

6.3 Deprecation Policy

  • Breaking changes: 90 days' notice
  • Deprecation warnings: Sent via email + API headers
  • Legacy API support: Minimum 180 days after deprecation

7. Data & Privacy

7.1 Your Data

You retain ownership of all data you upload (network topology, timetables, bookings).

What we store:

  • Account information (name, email, company)
  • Capacity monitoring configurations (routes, alerts)
  • Usage logs (API calls, timestamps)
  • Booking history (if using booking features)

What we DON'T store:

  • Payment card numbers (handled by Polar, our Merchant of Record)
  • Passwords (hashed with bcrypt)
  • Confidential train schedules (beyond what's needed for monitoring)

7.2 How We Use Data

  • Provide Service: Operate platform, send alerts, generate reports
  • Improve Service: Analyze usage patterns, train ML models (anonymized)
  • Communication: Send invoices, product updates, security alerts
  • Legal Compliance: Respond to court orders, regulatory requests

We do NOT:

  • Sell your data to third parties
  • Share data with competitors
  • Use data for advertising (no ad network integration)

7.3 Data Location & Transfers

  • Primary storage: EU (Scaleway France data center)
  • Backups: EU (Netherlands)
  • Third-party services: Polar (payments — Merchant of Record), Netlify (frontend CDN — global)

By using the Service, you consent to data transfers necessary for platform operation.

7.4 GDPR Rights (EU Users)

You have the right to:

  • Access: Request copy of your data (export via dashboard)
  • Rectification: Correct inaccurate data (self-service editing)
  • Erasure: Delete your account (contact erkin.zhusanbayev@railslot.io)
  • Portability: Export data in JSON format
  • Object: Opt out of marketing emails (unsubscribe link)

Data retention: Deleted accounts purged after 30 days (except as required by law for invoices, 7 years).

7.5 Security

We implement industry-standard security measures:

  • Encryption: TLS 1.3 in transit, AES-256 at rest
  • Access control: Role-based permissions, 2FA available
  • Monitoring: 24/7 intrusion detection, automated backups
  • Audits: Annual security review, penetration testing

However, no system is 100% secure. You acknowledge the inherent risks of internet transmission.


8. Service Level Agreement (SLA)

8.1 Uptime Commitment

Uptime calculation: Excludes scheduled maintenance (announced 48h in advance, max 4h/month).

8.2 Support Response Times

Critical issues: Platform down, data loss, security breach.

8.3 Claiming Credits

To claim SLA credits:

  1. Email erkin.zhusanbayev@railslot.io within 7 days of incident
  2. Provide incident date/time and impact description
  3. We verify downtime logs
  4. Credit applied to next invoice (no cash refunds)

Maximum credit: 25% of monthly fee (one incident per month).


9. Intellectual Property

9.1 Ownership

  • RailSlot IP: We own all rights to the Service (code, UI, algorithms, brand)
  • Your IP: You own your data and configurations
  • Third-party IP: RNE data subject to RNE terms, IM data subject to IM licenses

9.2 License Grant

To You: Non-exclusive, non-transferable license to use the Service during your subscription.

To Us: Limited license to host, process, and display your data to provide the Service.

9.3 Feedback

If you provide feedback (feature requests, bug reports), we may use it to improve the Service without compensation or attribution.


10. Third-Party Services

The Service integrates with:

  • RNE CIP: Railway capacity data (subject to RNE terms)
  • Polar: Payment processing and tax compliance as Merchant of Record (subject to Polar terms)
  • Vercel: Frontend hosting (subject to Vercel terms)

We are not responsible for third-party service failures or data breaches.


11. Warranties & Disclaimers

11.1 Service "As-Is"

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

  • Merchantability: Fitness for a particular purpose
  • Accuracy: Data from third parties (RNE, IMs) may be incorrect
  • Availability: We target SLA uptime but cannot guarantee 100%
  • Compatibility: Integration with your systems may require customization

11.2 No Liability for Third-Party Data

We are not liable for:

  • Incorrect capacity information from RNE or IMs
  • Booking failures due to external API downtime
  • Financial losses from acting on inaccurate predictions

You must verify critical data independently before making operational decisions.


12. Limitation of Liability

12.1 Maximum Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim (or €100, whichever is greater).

12.2 Excluded Damages

WE ARE NOT LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Lost profits, revenue, data, or business opportunities
  • Service interruptions beyond our control (force majeure)
  • Unauthorized access due to your negligence (e.g., shared API keys)

Exceptions: Liability cannot be excluded for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Violations of mandatory consumer protection laws

13. Indemnification

You agree to indemnify and hold RailSlot harmless from claims arising from:

  • Your violation of these Terms
  • Your violation of third-party rights (e.g., sharing copyrighted data without permission)
  • Your negligence or willful misconduct

Example: If you scrape RNE data in violation of RNE terms and RNE sues us, you cover our legal costs.


14. Termination

14.1 By You

  • Monthly plans: Cancel anytime (effective end of billing cycle, no refund for partial month)
  • Annual plans: Cancel anytime (no refund, access until end of prepaid period)
  • How: Email erkin.zhusanbayev@railslot.io or use dashboard self-service

14.2 By Us

We may suspend or terminate your account immediately if:

  • You violate Acceptable Use Policy (Section 4)
  • Payment is 30+ days overdue
  • We are required by law (court order, regulatory mandate)
  • We discontinue the Service (30 days' notice, prorated refund)

14.3 Effect of Termination

Upon termination:

  • Your access is immediately disabled
  • Data is retained for 30 days (you can export), then deleted
  • Outstanding invoices remain due
  • Sections 9 (IP), 11 (Disclaimers), 12 (Liability), 13 (Indemnification) survive

15. Changes to Terms

We may update these Terms with 30 days' notice:

  • Notice: Email to account owner + banner on dashboard
  • Acceptance: Continued use after 30 days = acceptance
  • Rejection: Cancel before effective date (prorated refund for annual plans)

Material changes (pricing, SLA reductions) require explicit opt-in.


16. Governing Law & Disputes

16.1 Governing Law

These Terms are governed by Dutch law (Netherlands), excluding conflicts of law principles.

16.2 Dispute Resolution

Step 1: Negotiation (30 days)
Contact: erkin.zhusanbayev@railslot.io → Attempt good-faith resolution

Step 2: Mediation (Optional, 60 days)
Neutral third-party mediator (costs split 50/50)

Step 3: Arbitration or Litigation

  • Arbitration: ICC Rules (International Chamber of Commerce), seat in Amsterdam
  • Litigation: Courts of Amsterdam, Netherlands (exclusive jurisdiction)

Exception: We may seek injunctive relief in any jurisdiction to protect IP rights.


17. General Provisions

17.1 Entire Agreement

These Terms + Privacy Policy + DPA (if applicable) = complete agreement. Supersedes all prior agreements.

17.2 Severability

If any provision is unenforceable, the rest remain in effect.

17.3 Waiver

Our failure to enforce any right does not waive future enforcement.

17.4 Assignment

You may not assign these Terms without our written consent. We may assign to affiliates or acquirers.

17.5 Force Majeure

We are not liable for delays caused by events beyond our control (war, natural disasters, internet outages, RNE/IM API failures).

17.6 Language

English version controls. Translations provided for convenience only.
